STOCKHOLDER PROPOSAL

DISSOCIATION FROM THE 2006 AND ALL FUTURE SO-CALLED "GAY GAMES"

Marcella V. Meyer, M.D., M.P.H, 10416 South Bell Avenue, Chicago, IL, 60043, claiming beneficial ownership of 200 shares of common stock, submitted the proposal set forth below.

RESOLVED:

That in the best interest of our company Kraft Foods Inc. as well as in the public interest, Kraft Foods does hereby disassociate itself from the 2006 and all future so-called "gay games", and that no future financial support be given for the 2006 "gay games" or any other future activities supporting, proselytizing, promoting or encouraging homosexual activity or life style.

Supporting Statement:

• It has been widely reported in the press that Kraft Foods is a major financial sponsor of the summer 2006 "gay games" in Chicago (Crain's Chicago Business, 5/23/05, "Gay Games Will Test Kraft, Harris"), and

• The gay rights movement is not a charitable activity; rather, it is a political movement designed to promote increased acceptance of the homosexual lifestyle, and

I wasn't sure where to place this story - so I decided to place it here.

I work with a lot of financial reports everyday and get the chance to see many proxy statements and annual reports. Rarely have I ever seen a shareholder proposal like this.

Kudos to the shareholder who dared put forth this proposal.

Opinions or comments - anyone?

Its the shareholder's right. All others of a similar mind (I am not, I don't really care about Gay Games) who aren't share holders, can boycott Kraft.

Anything else?

Good stuff. I hold no shares of Kraft, but if I did, I'd vote for it.

Lots more efforts from people like this are needed.

I don't think there's any reason to excerpt this. I'll post the second half of it, which is the Board's recommendation:



The Board recommends a vote AGAINST this proposal.

The Company is committed to supporting the communities where we live and do business. Last year alone, the Company provided over $85 million in food and financial support to hundreds of non-profit organizations around the world.

The Company's charitable contributions program emphasizes three global focus areas relevant to its business: (a) promote better nutrition and more physical activity, (b) combat hunger and (c) promote agricultural sustainability. In addition, the Company supports local charities and civic events in its home communities, with an emphasis on organizations and events in Chicago, where our headquarters is located.

Diversity in all its forms is important to the Company. Based on a suggestion from one of our employee councils that help promote our awareness of and commitment to diversity, Kraft contributed $25,000 to the non-profit, tax-exempt entity that organizes the Gay Games VII. This will be an eight-day sports and cultural event that the City of Chicago is officially supporting. Other contributors to the event include CNA Insurance, Exelon, Harris Bank, and Walgreen's.

In short, while we understand the Proponent's position, the contribution was one of hundreds of donations that the Company made last year in the Chicago area and was well within the scope of our overall charitable giving program.

For these reasons, the Board recommends a vote AGAINST this proposal, and proxies received by the Company will be so voted unless stockholders specify a contrary choice in their proxies.

Kraft was a natural sponsor for those "Gay Games" since their macaroni and cheese products figure so prominently in several of the events.

So the board recommended a vote against the proposal. Not surprising. The stockholder should immediately propose that Kraft donate a bunch of money to the local Chicago "ex-gay" counseling group. If it's important to "promote diversity" then Kraft should be fair and support both sides.

The Meeting isn't 'til April 24th.

After that, the results may be posted on Fraft's web site or you could probably contact Kraft and ask them for the vote numbers.

It's great that this is the only stockholder proposal on the agenda. It means Kraft can't hide it in the crowd. Check business news on that date.

Hey Steve: Over at American Family Association they've also got a notice on Ford. Apparently, they're in support of gay marriage, so AFA is circulating a petition against it... here. Perhaps all of us at FP should go and sign Rev. Wildmon's petition?

Foundations and corporations (what to speak of gov't agencies and departments) are larded with homosexuals and their assistants, funneling money and face time to those promoting the "gay" agenda. All outlined 20 years ago in "After The Ball".

This was precisely my reaction. Kraft says diversity in all its forms is important to the company. So what are they doing to support a 501(c)(3) that has the ideals of Free Republic?

An update from Kraft Foods press release & ambiguous treatment of the issue:

With more than 99% of the vote, the nine nominees named in the proxy statement were elected directors, the ratification of the selection of PricewaterhouseCoopers LLP as independent auditors was approved, and the company's 2006 Stock Compensation Plan for Non-Employee Directors was also approved. Additionally, a stockholder proposal regarding Kraft's support of the 2006 Gay Games received less than 1% of the vote and was rejected.

Delusional homosexual activists may herald this as a victory of sorts. Reality however acknowledges it as a mix of apathy and expedience - shareholders who could not bother to vote even if aware... Proxy votes for the homosexual agenda...

Voter apathy is correct. It's endemic across the securities industry,.

In this case, it's referred to as broker non-votes.

Every share that is not voted against Management is regarded as a vote in favor OF Management by and at the discretion of management.

It's an industry rule - and a sorry one at that. But we can't entirely blame industry rules.

Complacent and stupid shareholders are to blame for many companies' and their Boards of Directors running amok with little or no supervision.

You know, I want Kraft to focus on what it does best - make food products. Diversity does not make Mac 'n Cheese taste any better.

I suppose if Kraft insists on making a donation to the Gay Games, the next question is do they make donations to events that celebrate the hetero lifestyle...

Perhaps it's ok to purchase Kraft products now. I'll think about it. Have done nicely without it since I stopped using them before the last election.

Isn't this one of THKerry's Co's? I think it is.

On second thought, maybe I will still do nicely without them.
