Corporations???

Posted on 10/16/2021 9:28:05 PM PDT by djf

My question is simple to ask but might not be easy to answer.

What happens if I find out some corporation is doing business here but doesn't have an Agent in the State?

Do I call someone? SOS? Who?

Doesn’t really matter. I had a company for many years, doing business all over the US and, except for state contracts, I never had to register in the state. Just unnecessary and I bet 99.9% of companies are not registered in the states they do business in.

How about a question in return, why does it matter to you, what is the problem you are trying to address?

Really depends on the type of business. Many are not required to register, so they don’t.

Is this corporation a business competitor of yours, aiming for the same market profile? I’m wondering why you would care.

You can’t. Any corporation can do business in any state without notification.

Call the out of state agent. Who cares if the agent is in state? If you’re going to sue them, you do it in the state the crime or tort took place.

One state erecting roadblocks to interstate commerce from another state goes against the US constitution.

Unless, of course, some unelected bureaucrat declares a pandemic and individual Governors start restricting trade practices...then, it’s OK.

Call your state’s tax authority, usually called the “Department of Revenue. They are vampires that always want more blood.

If there is any chance that this lack impacts tax status, report right to the IRS. They offer a bounty to folks who turn in tax cheaters. And, they keep confidence.
