First, CEO pay is capped by legislation. Huh? Where?

section 162(m) of the Internal Revenue Code

The first $1 million in compensation can be expensed normally. Anything over $1 million must come from after-tax income.

It's not limited by legislation. The company can pay the CEO whatever they want.
