Vin Gupta removed as InfoGroup chairman

Citing excessive spending, a special committee of InfoGroup Inc. trimmed founder Vin Gupta's executive powers, removed him as chairman and arranged for him to pay back the company $9 million.

Why is Gupta going along with this humiliating cave-in, instead of fighting it out in court?

I suspect that Gupta is making this settlement offer in order to protect the Clintons from being deposed in the shareholders lawsuit. Gupta's $9 million payback is contingent on the plaintiffs dropping the lawsuit. Otherwise, Bill would have to testify about his time on the superyacht with the all-female crew.
