Twitter's legal complaint accusing Elon Musk of violating his $44 billion takeover agreement includes an unusual exhibit

The lawsuit filed on Tuesday in Delaware cites Musk's May 16 tweet, among others, as evidence that he publicly disparaged Twitter, in violation of the merger agreement, before he backed out of the deal entirely.

Musk's tweet with the smiling poop emoji came in response to Twitter CEO Parag Agrawal, who had sent several tweets explaining the company's procedures to combat spam and fake accounts, a battle Agrawal described as 'dynamic.'

Last week, Musk said he was terminating the buyout deal over concerns about bots and fake accounts, and he responded to the lawsuit with a tweet explaining that his use of the colorful emoji was shorthand for 'BS', a common abbreviation for 'bulls**t.'

Now Twitter is seeking a court judgement to force Musk to buy the company at $54.20 per share, as he agreed in the April 25 merger deal -- and many legal and financial experts believe the social media platform has a strong case.

Twitter's lawsuit cites numerous tweets from Musk as evidence that he violated the merger agreement by disparaging the company and revealing non-public information.

In one May 17 tweet, Musk appeared to encourage the SEC to investigate the accuracy of Twitter’s public disclosures.

The company argues that these tweets violate the merger agreement, which states in part that Musk is allowed to tweet about the buyout 'so long as such Tweets do not disparage the Company or any of its Representatives.'

While Musk's tweets are presented as evidence he has been pursuing the takeover in 'bad faith' -- but the crux of Twitter's argument is that the world's richest man is bound by the deal to buy the company he signed on April 25.

Worst case for Elon is he is out a billion for a company worth much much less than the $44B he was offering.

He may still go through with it, but at half the price.

‘Twitter’ is going to take $44 billion from Musk and it will still be controlled by the deep state. Musk will control Twitter about the same way that Trump was in control of his government.

On the surface, I agree but actually, Musk has had great success running other companies, so there's literally no reason he can't straighten out Twitter fast. He can just dump all the nefarious far-lefties in the company, move it to Texas and then hire tech people who actually know what they're doing. Twitter is not rocket science, although SpaceX is.

As for Trump, he's a Republican businessman trying to straighten out the U.S. government. But Trump faced dual threats - Democrats & RINOs ... a smelly, deadly, corrupt one-two punch. President Trump knew Washington was totally full of snakes. He knew it many decades ago. Even so, he thought he could accomplish a lot, and he did. But as an outsider, it was too much to expect him to totally control and fully reform the U.S. government. He still ended up with a bunch of back-stabbing snakes in his own Administration. Hard to weed them out. Snakes are extremely sneaky when they get into the weeds.

If Elon has to pay the $1 billion breakup fee but then turns around and buys twitter fro $20 a share would be come out ahead.

Also if he then bought twitter could he refund himself the $1 billion?

What Twitter is saying is more narrow - that after Musk's intent to purchase he signed a non-disparagement agreement that the poop emoji violates. Still very silly though.

Whaat? You think somewhere there are thousands of government employees punching buttons to somehow manipulate a web platform that is sliding into irrelevance? That's flat earth level paranoia.

Musk has a huge fan contingent, including many in the media. So a megaphone is important to him for communication, and that's the only reason he was interested in Twitter. That and the bong hits he took before jumping in. When he sobered up he realized $44B is a lot for an obsolete platform overrun by bots and garbage content, no matter how much he loves his retweets.

The idea that Elon Musk cares deeply about free speech is hilarious given the way he's run his companies.

Yes, it’s certainly a silly argument that an emoji is “disparaging”. Emojis are not words; they don’t have a set meaning, so they are open to interpretation. In that sense, they are art. And unless art is explicitly explained by the artist, one can’t make much of a legal argument that art is disparaging. To do so only speaks to your own interpretation of the art, and not the artist’s intent.
